Terms & Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE PLOTZ PLATFORM. BY DOWNLOADING, ACCESSING, OR USING THE PLOTZ APPLICATION OR ANY RELATED SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Consumer," or "you") and Plotz LLC, a New York limited liability company ("Plotz," "we," "us," or "our"), governing your access to and use of the Plotz mobile application, website, merchant dashboard, and all related services (collectively, the "Platform").

By creating an account, downloading the app, or using any part of the Platform, you affirm that you are at least 21 years of age (given the Platform's connection to licensed alcohol-serving establishments), that you have read and understood these Terms, and that you agree to be bound by them.

Plotz reserves the right to update or modify these Terms at any time. We will notify you of material changes via the app or email. Continued use of the Platform after such notification constitutes acceptance of the updated Terms.

2. Description of the Platform

Plotz is a two-sided promotional marketplace that connects consumers with participating bars and restaurants ("Venues") in New York City via real-time deals and promotional offers. The Platform allows:

  • Consumers to discover, claim, and redeem promotional deals at participating Venues;
  • Consumers to create and join groups to unlock group-based promotional deals through the "Fill the Table" feature;
  • Venue operators to post, manage, and fulfill promotional deals through the Plotz merchant dashboard.

Plotz acts solely as an intermediary marketplace connecting Consumers with Venues. Plotz is not a party to any transaction between a Consumer and a Venue, and is not responsible for the quality, availability, legality, or fulfillment of any deal, product, or service offered by a Venue.

3. Account Registration

3.1 Eligibility

You must be at least 21 years of age to create a Plotz account. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Plotz immediately of any unauthorized use of your account at info@promoplotz.com. Plotz is not liable for any loss or damage arising from your failure to protect your account.

3.3 One Account Per User

Each user may maintain only one active Plotz account. Plotz reserves the right to terminate duplicate accounts.

4. Deals, Claims, and Redemptions

4.1 Nature of Deals

Deals posted on the Platform are promotional offers made by Venues. All deal terms - including discount amount, valid dates, redemption windows, and group size requirements - are set by the Venue. Plotz does not guarantee the accuracy, completeness, or availability of any deal.

4.2 Claiming a Deal

When you claim a deal, you are expressing your intent to visit the Venue and redeem the offer during the specified redemption window. Claiming a deal does not guarantee availability; deals are subject to capacity limits set by the Venue.

4.3 Vouchers

Upon successful claim (or, for Fill the Table deals, upon group completion), you will receive a digital voucher containing a unique, single-use discount code and QR code. This voucher must be presented to Venue staff at the time of your visit during the specified redemption window. Vouchers are non-transferable and may not be sold, shared, or duplicated.

4.4 Redemption Windows

Each deal specifies a redemption window (a range of times during which the voucher is valid). Vouchers presented outside the redemption window will not be honored. Plotz is not responsible for Consumers who arrive outside the specified window.

4.5 Deal Cancellation by Venue

Venues reserve the right to cancel or modify deals at any time prior to your arrival. While Plotz will make reasonable efforts to notify affected users of cancellations, Plotz is not liable for any inconvenience, cost, or loss resulting from a Venue's cancellation or modification of a deal.

5. Fill the Table - Group Deals

5.1 How Fill the Table Works

Fill the Table is a group promotional mechanic where a deal only unlocks once a minimum number of users have committed to claiming it as a group. The group leader creates a group and shares an invite link with friends. When the minimum group size is reached, a shared voucher is automatically issued to the group leader.

5.2 Group Leader Responsibilities

The group leader is responsible for presenting the shared voucher at the Venue on behalf of the group. The group leader is also the account holder against whom no-show strikes are recorded (see Section 6).

5.3 Group Composition

All members who join a Fill the Table group are committing to attend the Venue during the redemption window. By joining a group, you acknowledge that the group leader holds the voucher and that the deal is for the group collectively, not for individual members separately.

5.4 Partial Groups

If a group does not reach the minimum required size before the deal's redemption window closes, the deal expires and no voucher is issued. No penalty is applied to group members for failing to fill a group.

6. No-Show Policy and Strike System

6.1 Definition of a No-Show

A no-show occurs when a voucher has been issued (either for an individual deal or a Fill the Table group) but is not redeemed at the Venue before the redemption window closes.

6.2 Strike System

Plotz operates a three-strike no-show system for group deals:

  • 1st no-show: Warning notification issued to the group leader.
  • 2nd no-show: Second warning issued; account flagged for review.
  • 3rd no-show: Account restricted from creating or leading Fill the Table groups. Plotz may, at its discretion, reinstate group privileges after a review period.

6.3 Disputes

If you believe a no-show was recorded in error (e.g., you attended the Venue but the voucher was not properly scanned), you may dispute the strike by contacting info@promoplotz.com within 48 hours of the incident, with supporting evidence (e.g., receipt from the Venue). Plotz will review disputes at its sole discretion.

7. User Conduct

By using the Platform, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms;
  • Create false or misleading accounts, groups, or claims;
  • Attempt to redeem vouchers you did not legitimately claim or that have already been redeemed;
  • Circumvent, disable, or interfere with the Platform's security features;
  • Scrape, harvest, or collect data from the Platform without authorization;
  • Harass, threaten, or abuse Venue staff or other users;
  • Engage in any conduct that could damage, disable, or impair the Platform or Plotz's reputation.

Plotz reserves the right to suspend or permanently terminate any account that violates these Terms, without notice and without liability.

8. Intellectual Property

All content, features, and functionality on the Platform - including but not limited to the Plotz name, logo, app design, text, graphics, and software - are owned by Plotz LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes only.

You may not reproduce, distribute, modify, create derivative works of, or commercially exploit any part of the Platform without Plotz's express written consent.

9. Third-Party Services

The Platform may integrate with or link to third-party services, including but not limited to Toast (point-of-sale), Apple App Store, and payment processors. Plotz is not responsible for the practices, content, or availability of third-party services. Your use of third-party services is governed by their respective terms and conditions.

10. Disclaimers and Limitation of Liability

10.1 No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PLOTZ DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLOTZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF PLOTZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PLOTZ'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO PLOTZ IN THE THREE MONTHS PRECEDING THE CLAIM.

10.3 Venue Responsibility

Plotz is not responsible for the actions, omissions, products, or services of any Venue. Any disputes regarding deal fulfillment, food quality, service, or safety are solely between you and the Venue.

11. Indemnification

You agree to indemnify, defend, and hold harmless Plotz LLC, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York, and you hereby consent to the personal jurisdiction of such courts.

13. Termination

Plotz may terminate or suspend your account and access to the Platform at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Platform ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Miscellaneous

These Terms constitute the entire agreement between you and Plotz with respect to the Platform and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Plotz's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
